1. INTRODUCTION
1.1 Chaptrs Media Limited ("Chaptrs," "we," "our," "us") is a company incorporated in England and Wales (Company No. 15547873), whose registered office address is at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. 1.2 Chaptrs provides a digital platform for users (“you”) to discover, purchase, and listen to digital spoken-word audio content, also known as audiobooks, ("Content") through our mobile application ("App" or “Chaptrs Software”) (“Service”). The Service includes features such as personalised recommendations, offline downloads, and exclusive Content categories. Our Content shall be delivered and accessible via our App only.
1.3 These Chaptrs Terms and Conditions ("Terms") govern your use of the Services via our App. Acceptance of these Terms grants you access to, and use of, our Service, including, but not limited to, accessing the platform to browse, purchase, or download Content on our App. By accessing or using the Service, you agree to these Terms in full. If you do not agree, you must not use the Service. For information regarding the processing of personal data, please refer to our Privacy Policy.
2. GENERAL
2.1 The Service is accessible via the App on compatible devices. Availability of features and Content may vary depending on location or device compatibility. We reserve the right to modify or discontinue certain features at any time.
2.2 By accessing our App or using our Service, whether or not you register, you agree to be bound to the following Terms, which you acknowledge you have read, understood, deem fair and reasonable.
2.3 If you do not wish to accept these Terms or any provision herein you may reject such terms, you must immediately cease any access and all use of the App.
2.4 We reserve the right, at our sole discretion, to change, modify or otherwise alter these Terms at any time. Whilst we publish our updates, you must review these Terms on a regular basis to make yourself aware of any changes.
2.5 You agree that the posting of any updates, additional, or revised Terms, or a link to such Terms, to your registered email address; or the publication of such Terms on or through the App, shall constitute adequate notice to you of any and all revisions and changes. Continued use of the Service after any such change or changes, or after explicitly accepting such Terms upon accessing or logging into the App, shall constitute your consent and acceptance of such changes.
2.6 You agree that these Terms form the entire agreement between us and you. These Terms, to the extent permitted by law, exclude and supersede and any and all previous and contemporaneous agreements, promises, assurances, warranties, representations and understandings between us and you, whether written or oral. Nothing in this agreement shall exclude or limit liability for fraud, death or personal injury resulting from negligence.
3. ACCOUNT ELIGIBILITY AND REGISTRATION
3.1 To use the Service, you must create an account and provide accurate and complete information. To register for an account, go to the App or www.getchaptrs.com “Website” and provide the requested information. By registering, you represent and warrant that (a) you are eligible for an account as set out in these Terms; and (b) the information you include as part of the registration process is accurate and not misleading.
3.2 Accounts may be created and used only by (a) an individual who is at least eighteen (18) years old or the legal age of majority in their country of residence if that age is higher; or (b) individuals aged thirteen (13) to seventeen (17) years old, provided they have obtained verifiable parental or guardian consent before registering and using any paid subscription services. You are responsible for safeguarding your account credentials and for all activities conducted under your account. If you are a parent or legal guardian providing consent for a minor to use the Services, you are fully responsible for their use of the account, including any purchases or subscriptions made.
3.3 Upon obtaining an account, you shall have access to the Services as provided by the Chaptrs from time to time, at our discretion, we reserve our right to terminate the Service at any time without notice. Chaptrs may add, delete or change some or all of the Services provided for free as part of the account at any time. You will be responsible for paying any fees or costs that you incur to access your account. You may not transfer or share your account with anyone.
3.4 You hereby agree that we may contact you on your email address or using SMS text messages to your mobile phone with personal communications related to your account, including but not limited to queries, notices and updates. You will be able to opt out of any future electronic communication as and when you may wish to do so, save to the extent necessary for us to deal with any external administration.
3.5 You may only use the Services for personal and non-commercial purposes, subject to your compliance with these Terms. By using the Services, you agree not to use them for any unlawful, fraudulent, or unauthorised activities. We reserve the right to restrict or terminate access if the Services are misused or used in violation of these Terms.
4. LICENSE AND ACCESS
Limited License
4.1 Subject to compliance with these Terms and payment of applicable fees, whilst you have a valid and active Account, Chaptrs grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for personal, non-commercial purposes via the App only.
4.2 The license to access and use the Service does not include any right of collection, aggregation, copying, duplication, resale, distribution, commercially exploit, display or derivative use of the Content including, but not limited to, making any link to the Website, App or Content from any competing website, nor any right to carry out data mining whether using robots, spiders or similar data copying and extraction tools without our prior written permission; provided that, general purpose internet search engines and non-commercial public archives that use tools to gather information for the sole purpose of displaying hyperlinks to the App from stable internet protocol addresses or a stable range of internet protocol addresses using an easily identifiable agent are excepted. "General purpose internet search engine" does not include any commercial site or search engine or other service that provide classified listings or product sale advertisements, or any similar service.
4.3 Any unauthorised use of the Services or its Content that violates these Terms, infringes on intellectual property rights, or circumvents security measures may result in suspension or termination of your access to the Services and may also lead to legal action.
4.4 Once we have made Content available to you (via your Account on the App), you will bear the risk of loss for completing any download of the Content after purchase and for any loss of Content you have downloaded, including any loss due to a file corruption or a device or hard drive crash. Purchased Content will generally continue to be available in your Account on your App but may become unavailable due to possible content provider licensing restrictions or other reasons, we will not be liable to you if Content becomes unavailable for further download. You will not receive a full or partial refund of any fees already paid in such situations. Accordingly, we encourage you to download Content promptly after purchase. If you are unable to complete a download after having reviewed our online help resources, please contact our customer service department.
Restrictions
4.5 You shall not misuse the Service this includes but is not limited to:
4.5.1 You may not bypass, disable, or otherwise interfere with any technical measures implemented by Chaptrs or its partners to restrict or control access to the Services or Content. This includes attempting to decrypt or reverse-engineer any part of the Services or its underlying technology.
4.5.2 You may not modify, adapt, translate, or create derivative works based on the Content or Services without prior written consent from Chaptrs. This includes altering the appearance, functionality, or underlying code of the Services.
4.5.3 You may not engage in any activities that infringe on the copyright, trade marks, patents, or other intellectual property rights of Chaptrs or any third party. This includes the use of Chaptrs trade marks or similar marks, and reproducing, distributing, or publicly displaying Content.
4.5.4 You may not use the Services to engage in harmful, illegal, or fraudulent activities, including but not limited to:
Cyber-interfering, hacking, uploading or distributing malicious code, viruses, or other harmful components.
Exploiting the Services for phishing, spamming, or unauthorised advertising.
Misrepresenting your identity or affiliation in connection with the use of the Services.
4.5.5 You may not access or attempt to access any part of the Services, Content, or systems that you are not authorised to use. This includes gaining unauthorised access to user accounts, databases, or any non-public sections of the Services.
4.5.6 You may not interfere with the proper functioning of the Services, including attempts to overload, disrupt, or impair the operation of servers, networks, or other infrastructure supporting the Services.
4.5.7 You may not share, transfer, or misuse user accounts, login credentials, or other security features in a manner that violates these Terms or compromises the security of the Services.
4.6 You may not, and you will not encourage, assist or authorise any other person to modify, reverse engineer, decompile or disassemble, or otherwise tamper with, the Chaptrs Software, whether in whole or in part, or create any derivative works from or of the Chaptrs Software.
4.7 You may use the Chaptrs Software only for accessing the Service. Unauthorised copying, modification, or distribution of the software is prohibited. You may not incorporate any portion of the Chaptrs Software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service, or sell, rent, lease, lend, loan, distribute or sub-license the Chaptrs Software or otherwise assign any rights to the Chaptrs Software in whole or in part. You may not use the Chaptrs Software for any illegal purpose. We may cease providing any Chaptrs Software and we may terminate your right to use any Chaptrs Software at any time. Your rights to use the Chaptrs Software will automatically terminate without notice from us if you fail to comply with any of these Terms. Additional third-party terms contained within or distributed with certain Chaptrs Software that are specifically identified in related documentation may apply to that Chaptrs Software and will govern the use of such software in the event of a conflict with the Terms. All software used in the Service is the property of Chaptrs or its software suppliers and protected by the laws of England & Wales and international copyright and authors' rights laws.
5. PURCHASES AND BILLING
5.1 Pricing
Prices for subscriptions, Content, and other services are displayed within the App and are subject to change. Taxes and fees may apply depending on your location. We cannot confirm the price of an item until you order. Despite our best efforts, a small number of the items in our catalogue may be mispriced. If an item's correct price is higher than our stated price, we may at our discretion cancel your order.
5.2 Payments
All payments are processed through secure third-party payment providers. You agree to provide accurate payment details and authorise us or our payment providers to charge your payment method for all fees incurred. You agree to the terms of our payment providers.
5.3 Subscriptions
5.3.1 You may purchase a subscription directly through the App or Website on a monthly or annual subscription, subject to our Subscription Terms ("Subscription"). If you purchase a Subscription, you will be charged the full price of the Subscription at the beginning of the Subscription’s term. If your default payment method is declined for any reason, you agree that Chaptrs has the right to charge any payment method on file with your account. Subscriptions may be purchased using credit or debit card details.
5.3.2 Subscriptions automatically renew at the end of each billing period (whether on the monthly or annual subscription), unless you cancel prior to the renewal date. Renewal fees will be charged using the payment method on account.
5.3.3 Unused subscription credits may expire as specified in your subscription terms. Details of credit expiry will be provided at the time of subscription.
5.3.4 Subscription fees are payable in advance and are non-refundable.
5.4 Single Purchases
5.4.1 Users who do not wish to subscribe may sign up and access certain features of the App without charge.
5.4.2 Individual Content may be purchased at the advertised prices without a Subscription. Once purchased, the audiobook will be accessible in accordance with, and subject to, the Single Purchase Terms, these Chaptrs Terms and Conditions, and our Privacy Policy.
5.5 General Payment Terms
5.5.1 All payments for Subscriptions or Single Purchases must be made through the payment method you have provided within the App or Website.
5.5.2 Chaptrs reserves the right to change Subscription fees, benefits, or the availability of content at its sole discretion. Any changes to subscription pricing will be communicated to users in advance, and users will have the opportunity to cancel their subscriptions before the changes take effect.
5.5.3 Users must ensure their payment details are accurate and up to date to avoid any interruptions in access to the Services.
5.6 Refunds
5.6.1 Refunds will be processed under Apple’s terms of service.
5.6.2 You have a 14-day cooling-off period from the purchase date to request a full refund, provided:
5.6.2.1 for Subscription customers, you have not used any Credits. If you use a credit within the 14-day period, you waive your right to cancel and will not be eligible for a refund (subject to Apple terms;
5.6.2.2 for Single Purchases, you have not accessed the Content purchased. If you use or access the Content purchased within the 14-day period, you waive your right to cancel and will not be eligible for a refund (subject to Apple terms).

6. GIFT CODES, VOUCHERS, AND PROMOTIONS
6.1 From time to time, we may offer gift codes, vouchers, or promotional credits (“Promotional Items”) as part of our Services or special offers. The following terms apply to these items:
6.1.1 Promotional Items may be subject to expiration dates and additional terms and conditions that will be specified at the time of issuance. It is your responsibility to review and comply with any such terms.
6.1.2 Promotional Items are issued solely for your personal use and may not be transferred, assigned, sold, or shared with any third party unless explicitly authorised by Chaptrs in writing.
6.1.3 Promotional Items have no monetary value and cannot be redeemed for cash or used as credit towards other Services, except as explicitly permitted by Chaptrs.
6.1.4 Promotional Items may only be used for the purposes stated at the time of issuance and cannot be combined with other promotions, discounts, or offers, unless explicitly allowed.
6.1.5 Chaptrs reserves the right to modify or revoke any Promotional Items at its sole discretion, including but not limited to cases where such items are obtained fraudulently or in violation of these Terms.
6.1.6 Chaptrs will not be liable for any loss, theft, or unauthorised use of Promotional Items. Replacement or reissuance of lost or expired items is at Chaptrs sole discretion.
6.1.7 By using any Promotional Items, you agree to these terms and any additional terms and conditions provided at the time of issuance.
7. INTELLECTUAL PROPERTY
7.1 Ownership
All Content and materials provided through the Service and made available through the App and Website (such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations) are owned by Chaptrs or its licensors. Unauthorised use of any intellectual property is prohibited. The compilation of all Content accessible through the Service is the exclusive property of Chaptrs and protected by the laws of England & Wales and international copyright and database right laws.
7.2 Copyright Infringement Claims
If you believe your intellectual property has been infringed, please submit a claim to us including:
A description of the copyrighted material.
Details of the infringing Content.
Your contact information.
Chaptrs will review and take appropriate action in accordance with the applicable law.
8. PRIVACY AND DATA USE
8.1 Data Collection
Chaptrs collects and processes personal data in accordance with our Privacy Policy. This includes account details, payment information, and usage data.
8.2 Your Rights
You have the right to access, correct, or delete your personal data. For more details, refer to our Privacy Policy.
9. LIMITATION OF LIABILITY
9.1 General
9.1.1 Chaptrs disclaims all warranties, express or implied, with respect to audiobooks, memberships, and vouchers, including, without limitation, any express or implied warranty of merchantability or fitness for a particular purpose. In the event an audiobook, membership or voucher is non-functional, your sole remedy, and our sole liability, shall be the replacement of such audiobook, membership or voucher.
9.1.2 To the full extent permitted by law, Chaptrs excludes and is not responsible for any losses arising out of or in connection with the Service, you agree that we are not responsible for loss of profits; loss of sales or business; loss of agreements or contracts; loss of anticipated savings; loss of use or corruption of software, data or information; loss of or damage to goodwill; and indirect or consequential loss.
9.1.3 Chaptrs does not guarantee that the App, Website, or Service will be uninterrupted, timely, secure, or error-free. While we strive to provide accurate and reliable information, we do not warrant that all information obtained through our App or Website will always be free from errors.
9.2 Consumer Rights
Nothing in these Terms limits your statutory rights.
10. CHANGES TO THE SERVICE
10.1 Updates
We may update, modify, or discontinue in whole or parts of the Service to comply with legal requirements or improve functionality. Where feasible, we will provide reasonable advance notice of significant changes. If a change has a material negative impact on your use of the Service, you may have the right to cancel and request a refund for any unused portion of a paid subscription, where applicable.
10.2 Termination
We may suspend or terminate your account if you breach these Terms. Where possible, we will provide reasonable notice before termination, however, depending on the circumstances we reserve our right to terminate without notice. Upon termination, access to previously purchased Content may be revoked or restricted. If we terminate your account, you may be entitled to a refund for any unused portion of a paid subscription. Our failure to enforce any part of these Terms does not constitute a waiver of our rights.
11. DISPUTE RESOLUTION
11.1 Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes arising out of these Terms will be resolved, exclusively, in the courts of England and Wales, unless you reside in Scotland or Northern Ireland, in which case you may bring a claim in your local court.
11.2 Alternative Dispute Resolution
Where available, you may use alternative dispute resolution mechanisms to resolve disputes with us before seeking legal action.
12. MISCELLANEOUS
12.1 Severability
If any part of these Terms is deemed unenforceable, the remaining provisions will remain in effect.
12.2 Assignment
Chaptrs may novate and assign these Terms at its sole discretion. You shall not novate, assign or otherwise transfer your rights or obligations under these Terms.
13. NOTICES
We may send notices via email or in-App notifications. It is your responsibility to keep your contact information updated.
14. THIRD PARTY TERMS
Use of Third-Party Services
14.1 When you use the Chaptrs Software, you may also be using the services of one or more third parties, such as a wireless carrier or a mobile platform provider. Your use of such third-party services may be subject to the separate policies, terms of use, and fees of such third parties.
14.2 You agree that by accepting these terms and using the Services, you have also accepted the terms and conditions of any third parties, please ensure you have the read the following terms of service and have accepted them. Your use of Chaptrs will mean you have accepted such terms.
